The Senior VP & CFO of UDR, Inc. (NYSE:UDR), Joseph Fisher, Just Sold 32% Of Their Holding

We wouldn’t blame UDR, Inc. (NYSE:UDR) shareholders if they were a little worried about the fact that Joseph Fisher, the Senior VP & CFO recently netted about US$562k selling shares at an average price of US$48.85. That’s a big disposal, and it decreased their holding size by 32%, which is notable but not too bad.

UDR Insider Transactions Over The Last Year

In the last twelve months, the biggest single sale by an insider was when the Chairman & CEO, Thomas Toomey, sold US$4.7m worth of shares at a price of US$38.81 per share. So it’s clear an insider wanted to take some cash off the table, even below the current price of US$49.03. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. Please do note, however, that sellers may have a variety of reasons for selling, so we don’t know for sure what they think of the stock price. This single sale was just 8.8% of Thomas Toomey’s stake.

Insider Ownership

Many investors like to check how much of a company is owned by insiders. I reckon it’s a good sign if insiders own a significant number of shares in the company. It’s great to see that UDR insiders own 0.8% of the company, worth about US$124m. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

Insiders sold stock recently, but they haven’t been buying. And even if we look at the last year, we didn’t see any purchases. The company boasts high insider ownership, but we’re a little hesitant, given the history of share sales. While we like knowing what’s going on with the insider’s ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
